Documents Required for Private Limited Company Registration (2026 Checklist)

Exact document list for directors, shareholders and the registered office — with the format MCA actually accepts, so your SPICe+ isn't sent back for resubmission.

Company incorporation in India runs through the MCA's SPICe+ form. Almost every resubmission we see is caused by document quality, not eligibility — blurred scans, mismatched addresses, or an unsigned NOC from the property owner.

Keep every scan in colour, under 2 MB, and make sure the name on PAN exactly matches the name on the DSC application. A middle-name mismatch alone can trigger a resubmission notice.

Directors who are not Indian residents must get their passport and address proof apostilled (Hague Convention countries) or notarised and consularised. This step usually adds 7–10 days, so start it first.

Once documents are ready, Part A (name reservation), Part B (incorporation, DIN, PAN, TAN, EPFO, ESIC, professional tax and bank account) are filed together, and the Certificate of Incorporation typically arrives in 7–12 working days.

Document checklist

For every director and shareholder

  • PAN card (mandatory for Indian nationals)
  • Aadhaar card + one of: passport, voter ID or driving licence
  • Latest bank statement or utility bill as address proof (within 2 months)
  • Passport-size photograph (white background)
  • Mobile number and email ID linked to Aadhaar for OTP verification
  • Digital Signature Certificate (DSC) — we arrange this

For the registered office

  • Electricity / water bill of the premises (within 2 months)
  • Rent agreement, if premises are rented
  • No Objection Certificate (NOC) signed by the property owner
  • Sale deed or property tax receipt, if premises are owned

For foreign directors or corporate shareholders

  • Passport, apostilled or notarised
  • Overseas address proof, apostilled or notarised
  • Board resolution of the foreign holding company authorising subscription
  • Certificate of Incorporation of the foreign entity, apostilled
